Agreement to These Terms

These Terms & Conditions (“Terms”) govern your access to and use of the website, publicly available resources, client-facing digital features, and other online services made available by RAEFORM Business Support Services (“RAEFORM,” “we,” “us,” or “our”), unless separate terms expressly apply.

By accessing or using the RAEFORM website, you agree to these Terms.

If you do not agree, do not use the website.

About RAEFORM

RAEFORM provides business support and professional services that may include operations support, administrative support, project support, process and systems development, documentation, implementation, branding, web support, technology support, consulting, and related services.

Descriptions appearing on the website are general descriptions only.

Specific services, deliverables, fees, timelines, ownership rights, support obligations, payment terms, and other engagement terms are established through the applicable proposal, service agreement, statement of work, engagement letter, order, or other written agreement.

No Client Relationship From Website Use

Use of this website does not by itself create a client relationship with RAEFORM.

In particular, the following do not automatically establish a professional engagement:

• Visiting the website
• Reading an article
• Downloading a resource
• Sending an inquiry
• Submitting a contact form
• Booking an introductory consultation
• Receiving preliminary information or pricing

A client relationship begins only when RAEFORM accepts an engagement through an appropriate written arrangement or otherwise expressly confirms the engagement.

Eligibility

You may use the website only if you are legally capable of doing so.

Where you use the website on behalf of an organization, you represent that you are authorized to act for that organization to the extent required for the applicable activity.

Accuracy of Information

You agree to provide accurate and reasonably complete information when submitting inquiries, creating accounts, using client systems, or requesting services.

Proposals, Estimates, and Quotes

Unless expressly stated otherwise:

The applicable client agreement controls if there is any conflict with general website information.

Client Portals and Accounts

Certain clients may receive access to restricted RAEFORM systems or portals.

You are responsible for:

• Protecting your login credentials
• Maintaining the confidentiality of your account
• Restricting access to authorized users
• Promptly notifying RAEFORM of suspected unauthorized access
• Ensuring information submitted through your account is authorized

RAEFORM may suspend access where reasonably necessary to address suspected misuse, security incidents, legal requirements, or material breaches.

Intellectual Property

Unless otherwise stated, RAEFORM or its licensors retain applicable intellectual property rights in the RAEFORM website and its underlying materials, including:

• Logos
• Website design
• Text
• Graphics
• Templates
• Frameworks
• Educational material
• Software
• Code
• Documentation
• Original resources

Nothing in these Terms transfers ownership of RAEFORM intellectual property to you.

Ownership and licensing of client-specific deliverables are governed by the applicable client agreement.

Limited Website Use

RAEFORM grants you a limited, revocable, non-exclusive, non-transferable right to access the website for lawful personal or business evaluation purposes.

Unless authorized, you may not:

• Copy substantial portions of the website
• Republish RAEFORM material
• Sell or sublicense RAEFORM resources
• Remove copyright or proprietary notices
• Misrepresent RAEFORM material as your own
• Commercially exploit protected RAEFORM content

Materials You Provide

You retain ownership of materials you submit to RAEFORM, subject to any applicable client agreement.

You grant RAEFORM the rights reasonably necessary to receive, store, review, process, reproduce, transmit, or otherwise use those materials for:

• Responding to your request
• Performing contracted services
• Operating applicable systems
• Complying with legal obligations

You represent that you have the necessary authority to provide materials you submit.

Acceptable Use

Your use of RAEFORM systems is subject to the Acceptable Use Policy.

You must not use RAEFORM services or systems for unlawful, fraudulent, abusive, harmful, or unauthorized purposes.

Third-Party Services

RAEFORM may use or link to third-party services such as hosting providers, scheduling tools, payment services, authentication providers, communications platforms, storage services, or other integrations.

Third-party services are governed by their own terms and policies.

RAEFORM is not responsible for third-party services to the extent their operation is outside RAEFORM's reasonable control.

WorkWell and RaeLearn

RAEFORM may own, operate, or maintain products including WorkWell and RaeLearn.

Those products may have separate Terms of Service, Privacy Policies, or other product-specific rules.

Where product-specific terms conflict with these Terms regarding use of that product, the product-specific terms control.

Website Information

RAEFORM makes reasonable efforts to keep website information useful and current, but website content may occasionally contain errors, omissions, or outdated information.

RAEFORM may modify website content without notice.

No Guarantee of Results

RAEFORM does not guarantee any particular commercial, financial, operational, marketing, hiring, fundraising, technology, or other outcome merely from accessing the website or using general resources.

Results from professional services depend on the agreed scope and circumstances of each engagement.

Disclaimer of Warranties

To the maximum extent permitted by applicable law, the website and general public resources are provided on an “as available” basis.

RAEFORM does not warrant that the website will be uninterrupted, error-free, completely secure, or suitable for every user's particular purpose.

Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.

Limitation of Liability

To the maximum extent permitted by applicable law, RAEFORM will not be liable for indirect, incidental, special, punitive, exemplary, or consequential damages arising solely from use of or inability to use the public website.

This includes, where legally permitted, loss of profits, revenue, opportunities, goodwill, or data.

Liability arising from paid professional services is governed by the applicable client agreement.

Nothing in these Terms excludes or limits liability where exclusion or limitation is prohibited by law.

Indemnity

To the extent permitted by applicable law, you agree to indemnify RAEFORM against claims, losses, or reasonable expenses arising from:

• Your unlawful use of the website
• Materials you submit without appropriate rights
• Your infringement of third-party rights
• Fraudulent or malicious conduct
• Material violation of these Terms

This section does not apply to the extent a claim results from RAEFORM's own unlawful conduct.

Suspension or Termination

RAEFORM may restrict or suspend access to the website or a digital account where reasonably necessary because of:

• Security concerns
• Abuse
• Fraud
• Unauthorized access
• Legal requirements
• Material violations of these Terms

Suspension of website access does not automatically terminate an existing client agreement.

Governing Law

These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-law principles.

Any mandatory legal rights that cannot lawfully be waived remain unaffected.

The parties submit disputes relating solely to these website Terms to the courts of competent jurisdiction in [City/Province, Philippines], unless another legally binding agreement provides otherwise.

Changes

RAEFORM may update these Terms from time to time.

Updated Terms become effective on the date stated above unless a different effective date is specified.

Severability

If any provision is found unenforceable, the remaining provisions remain effective to the extent permitted by law.

Failure to enforce a provision does not waive the right to enforce it later.

Entire Agreement

These Terms constitute the agreement regarding use of the general RAEFORM website but do not replace a client service agreement, NDA, DPA, statement of work, or product-specific agreement.
